1. Purpose

This Vendor Code of Conduct outlines the ethical standards and legal requirements that all vendors must adhere to when conducting business with ProcureEaze. It ensures that our supply chain operates with integrity, transparency, and in compliance with applicable laws and regulations.​

2. Compliance with Laws and Regulations

Vendors must operate in full compliance with all applicable local, national, and international laws, including but not limited to:​

  • Anti-Bribery and Anti-Corruption Laws: Such as the U.S. Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act.
  • Labor and Employment Laws: Including laws related to wages, working hours, and workplace safety.

3. Ethical Business Practices

3.1 Anti-Bribery and Anti-Corruption

Vendors must not engage in any form of bribery or corruption, including offering or accepting gifts, payments, or favors intended to influence business decisions. All business dealings should be transparent and documented.​KU+2IFF+2Centuri+2

3.2 Fair Competition

Vendors are expected to compete fairly and not engage in anti-competitive practices such as price-fixing, bid-rigging, or market allocation.​Latham & Watkins LLP

4. Labor and Human Rights

4.1 Freely Chosen Employment

Vendors must not use forced, bonded, or indentured labor. All work must be voluntary, and workers should be free to leave employment after reasonable notice.​Penn Procurement Services

4.2 Child Labor

Vendors must not employ individuals under the legal minimum working age in the jurisdiction of operation.​

4.3 Non-Discrimination

Vendors must provide a workplace free of discrimination and harassment based on race, color, gender, sexual orientation, religion, age, disability, or any other protected status.​

4.4 Health and Safety

5. Environmental Responsibility

Vendors should strive to minimize their environmental impact by:​

  • Reducing waste and emissions.
  • Conserving energy and natural resources.

6. Confidentiality and Data Protection

Vendors must protect the confidentiality of ProcureEaze’s proprietary information and comply with all applicable data protection laws, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).​

8. Reporting Violations

Vendors must report any violations of this Code or unethical behavior to ProcureEaze promptly. Reports can be made confidentially and without fear of retaliation.​

9. Enforcement

Failure to comply with this Vendor Code of Conduct may result in corrective action, including termination of the business relationship.
